1 ACCEPTANCE OF TERMS

By accessing the website toukanprinting.com (the “Site”), creating an account, requesting a quote, or placing an order with Toukan Printing (“we,” “us,” “our”), you (“Customer,” “Client,” “User”) agree to be strictly bound by these Terms of Service (“Terms”).

These Terms apply to all orders, whether placed online, via email, by phone, or in person. If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and Toukan Printing.

2 ELIGIBILITY & ACCOUNT SECURITY

By using our services, you represent and warrant that:

You are at least 18 years of age or the age of majority in your jurisdiction.
You have the legal authority to enter into binding contracts on behalf of yourself or the business entity you represent.
All information provided (including billing, shipping, and contact details) is accurate, current, and complete.

Account Responsibility:

If you create an account on our Site, you are responsible for maintaining the confidentiality of your login credentials. You accept full responsibility for all activities that occur under your account. Toukan Printing is not liable for any loss or damage arising from your failure to protect your account information.

3 ORDER ACCEPTANCE & CANCELLATION

3.1 Order Acceptance

The receipt of an order confirmation (email or otherwise) does not constitute our acceptance of an order. Toukan Printing reserves the right to accept or decline your order for any reason at any time, even after payment has been processed. If an order is cancelled by us after payment, a full refund will be issued.

3.2 Right to Refuse Service

We reserve the right to refuse to print any content that we, in our sole discretion, deem:

Illegal, threatening, or abusive.
Libelous, defamatory, or obscenely offensive.
In violation of any intellectual property rights or third-party rights.
Hate speech or promotion of violence.

3.3 Cancellation by Customer

Before Proof Approval: You may cancel your order subject to a cancellation fee to cover administrative costs and any pre-production work already completed.
After Proof Approval: Once a proof is approved, the order enters production immediately. Orders cannot be cancelled or modified once the proof is approved.

4 PRICING, PAYMENT & TAXES

4.1 Currency & Taxes

All prices are listed in Canadian Dollars (CAD). Prices do not include applicable taxes (GST, PST, HST) or shipping charges, which will be added at checkout.

4.2 Payment Terms

Full payment is required before any production begins.
We accept major credit cards and other payment methods as indicated on our Site.
In the event of a payment dispute or "chargeback" that is found to be invalid, you agree to pay any associated fees incurred by Toukan Printing, plus the original order amount.

4.3 Pricing Changes

We reserve the right to adjust pricing at any time without notice. If a pricing error occurs on the Site, we reserve the right to cancel any orders placed at the incorrect price.

5 ARTWORK, PROOFS & APPROVALS

5.1 Customer Responsibility

You are fully responsible for the final proof and layout approval prior to the printing process. Toukan Printing is not liable for errors in a final product caused by:

Spelling, grammar, or punctuation errors.
Low-resolution images or graphics (pixelation).
Damaged fonts or transparency issues.
Incorrect orientation or layout.
Wrong cuts or die lines not properly indicated.

5.2 Proof Approval

By submitting your approval (online or via email), you confirm that you have verified the document text and layout. Your approval is final. We do not proofread your content.

5.3 Color Accuracy & Variances (CRITICAL)

RGB vs. CMYK: Computer monitors display color in RGB (Red, Green, Blue), while printing uses CMYK (Cyan, Magenta, Yellow, Black). Color shifts are inevitable. We do not guarantee that the printed color will match the color on your screen.
Gang Run Printing: We may use "gang run" printing (combining multiple jobs on one sheet) to keep costs low. This may result in color variances of up to 10% from the requested color or from previous orders.
Hard Copy Proofs: If an exact color match is critical, you must request and pay for a hard copy proof. Otherwise, we are not liable for color variations.

6 TECHNICAL PRINTING TOLERANCES

To protect our business operations, you acknowledge the following industry-standard manufacturing tolerances:

Cutting & Trimming: Mechanical cuts can vary by up to 1/16th of an inch (0.0625"). You must include proper "bleed" (extending artwork beyond the edge) and keep critical text/logos within the "safety zone" (at least 1/8" inside the cut line) to prevent them from being trimmed off.
Quantity (Overs/Unders): Due to manufacturing variances, the final quantity delivered may vary by ±5%. We will bill or refund pro-rata only if the variance exceeds this industry standard.
Die-Cutting & Folding: Slight shifting of up to 1/16" is considered acceptable standard tolerance.

7 INTELLECTUAL PROPERTY & INDEMNIFICATION

7.1 Your Content

By submitting artwork, you warrant that:

You own the copyright or have full legal permission to reproduce the materials.
The content does not infringe on any third-party rights (trademarks, copyrights, privacy rights).

7.2 Indemnification (Strict Liability)

You agree to indemnify, defend, and hold harmless Toukan Printing, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

Your violation of these Terms.
Any claim that the content you submitted infringes upon the intellectual property rights or other rights of a third party.
Your violation of any applicable laws or regulations.

7.3 Toukan Printing Intellectual Property

All content on the Toukan Printing website (text, graphics, logos, software) is the property of Toukan Printing and is protected by Canadian and international copyright laws. You may not use our materials without express written consent.

8 PRODUCTION & TURNAROUND TIMES

Estimates Only: Turnaround times listed on our website are estimates and are not guaranteed.
Calculation: Production time begins on the first business day after the proof is approved and payment is received. Weekends and holidays are excluded.
Delays: Toukan Printing is not liable for delays caused by equipment failure, material shortages, or files that require correction.

9 SHIPPING & DELIVERY

9.1 Risk of Loss (FOB Origin)

All items are shipped FOB (Free On Board) Shipping Point. This means that title to the merchandise and risk of loss pass to you upon our delivery of the package to the shipping carrier (e.g., Canada Post, UPS, FedEx).

9.2 Carrier Issues

Toukan Printing is not responsible for:

Delays caused by the shipping carrier or customs clearance.
Lost, stolen, or damaged packages once tendered to the carrier.
Packages returned due to an incorrect address provided by the customer. Reshipping fees will apply.

10 RETURNS, REFUNDS & REPRINTS

10.1 Custom Nature of Goods

Because our products are custom-made to your specifications, they have no resale value. All Sales Are Final. We do not offer refunds or exchanges for "change of mind."

10.2 Defective Products

You must notify us via email at info@toukanprinting.com within 5 business days of delivery.
You must provide photographic evidence of the defect.
We reserve the right to request the return of 100% of the original product before processing a reprint or refund.
If the error is verified as a production error by Toukan Printing, we will reprint the order at no charge. Expedited shipping is not included for reprints.

11 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL TOUKAN PRINTING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

LOSS OF PROFITS OR REVENUE.
LOSS OF DATA OR USE.
COST OF SUBSTITUTE GOODS.
BUSINESS INTERRUPTION.
THIRD-PARTY CLAIMS.

CAP ON LIABILITY: OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

12 DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13 FORCE MAJEURE

Toukan Printing shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Toukan Printing’s reasonable control, including, without limitation: acts of God; pandemics; war; terrorism; riots; labor disputes; or supply chain shortages.

14 GOVERNING LAW & DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada.

14.2 Jurisdiction

Any dispute shall be subject to the exclusive jurisdiction of the courts located in Vancouver or New Westminster, British Columbia.

15 SEVERABILITY & ENTIRE AGREEMENT

These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.

16 CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site.
